As a Senior Counsel in the firm’s Retirement, Executive Compensation, and Tax practice, Greg focuses on executive, incentive, and equity compensation issues, including matters involving Section 409A of the Internal Revenue Code.

Greg counsels private and public companies and tax-exempt organizations regarding the design, implementation, and administration of nonqualified deferred compensation plans (including traditional deferred compensation plans, supplemental executive retirement plans (“SERPs”), and “top hat” plans), equity-based plans, synthetic and incentive compensation arrangements, profits interests, qualified retirement plans, and executive employment and separation agreements. He also advises individual executives with respect to their executive employment arrangements. 

Greg works with a wide range of stakeholders, including executives, internal finance, HR and benefits professionals, CPAs, consultants, investment bankers, private equity professionals, non-benefits attorneys, and in-house counsel.

Prior to joining Groom, Greg worked as an executive compensation and benefits lawyer at large, international law firms, where he focused on advising technology companies, private equity sponsors, and other businesses on executive compensation and employee benefits issues that arise in the context of mergers and acquisitions and other corporate transactions. Greg also has experience advising clients on matters involving tax-qualified retirement plans, and he has represented clients before the Internal Revenue Service, Department of Labor, and Pension Benefit Guaranty Corporation.
